When Valentines Day come?s around the corner every year, I hear many people moan and groan about how there shouldn?t have to be a designated day to express love, and that such dynamics should be daily events. While the sentiment in outrage over Hallmark Holidays is valid, I find it far from realistic. Habits are hard to break but easy to materialize, and we often find ourselves engaging in relationship dynamics that we wouldn?t have even dreamed of doing during The Butterfly Stage. Here are 7 habits of highly comfortable relationships that may require some changing.

shaving, letting go, hygiene, relationships, getting comfortable

Gone are the days of stopping mid make out sesh to sneak off and dry shave your legs in the bathroom before things get too steamy. Once the line has been baited and the catch has been caught, we all let go a little bit. However, prickly legs do not feel less prickly to a man just because he?s in love, and a woman?s face will still get irritated after kissing a stubble surrounded mouth. Treat others how you want to be treated: shave, and your partner will continue to do the same.

breath, letting go, hygiene, relationships, getting comfortable

There?s nothing sweeter than waking up to your sweetie, but the morning sex depicted in movies would not be so glamourous if the actors didn?t wake up with their makeup perfected, hair beautifully tossled, and mouth recently Listerined. While we can?t all have a hair and makeup team, sneaking off to brush your teeth before starting something in the morning is just as appreciated in a two year relationship as it was in a two week relationship.

breath, letting go, hygiene, relationships, getting comfortable

The fool-proof flirting technique? Laugh at their jokes. While doing so was easy during The Butterfly Stage, as your relationship matures, sometimes you wish your partner would too. Soon, their ?cute habits? annoy the hell out of you, and your flirty giggles are soon replaced with sighs and eye rolls. Step back. Remember why you fell in love with your partner and allow them to have their quirks. Sometimes, people are corny, inappropriate, or just plain socially inept, but as their partner, you should work to make them feel as good as you want them to make you feel. If you have to humour them from time to time, so be it.

breath, letting go, hygiene, relationships, getting comfortable

Before hitting the send button to a person you?re newly dating, one must be sure that they have checked over their text, made sure it?s cute but not too needy, and funny but not too sarcastic. Months or years later, couples rarely use emoticons in their texts, and their facebook walls have not been bombarded with PDA articles, pictures and quotes. While an over advertised love via social media or texting is over the top and annoying, take the time to remember how you used to feel every time your partner texted you before you became official. Relive those moments, and send those sweet nothings.

celebrate, cherish relationships, sweet nothings

Happy 1 week anniversary! Here?s a mixed CD and mushy card.

Happy 8 month anniversary! Lets do a movie and dinner, on me.

Oh, it?s been 3 years hey? Wanna split a $5 footlong?

While the evolution of your relationship may not be quite as depressing as the above example, I do find it sad how rarely couples celebrate those small moments the longer they are together. I?m not suggesting you throw a party for you 65th week anniversary, but the acknowledgement of love, and displaying gratitude for having your partner in your life should not get old. Even a kiss, cute text, or surprise in bed is a nice way of saying ? I love being in love with you.?

dress up, getting comfortable, relationships, habits

Whether for your partner or meeting their friends and family, didn?t you used to stress out over finding that perfect outfit? Two years in, my perfect outfit when going to my boyfriends house is sweatpants and no makeup. While I know he loves me no matter what I look like, and that his parents could care less if I dress up for Taco Tuesday at their house, I still recognize that I definitely used to try harder when we were first dating. My suggestion is to find the balance between being comfortable and being considerate. Not only do you feel good when you look good, but your partner often responds well, which only further boosts your ego and the chemistry between you two.

spontaneous, carefree, weekly fun, relationships, breaking habits

Unless you are an old married couple, don?t act like an old married couple! Long term couples could use less practicality. Like any of the items in this list, take the time to remember the crazy things you used to do when you first began dating. How often do you remember feeling really well rested for work? In contrast, how often do you remember special dates and unique experiences with you partner? While you don?t need to break the bank or do anything too unruley, make a weekly effort to deviate from norms. It isn?t just girls who want to have fun, it?s everyone. Predictability and schedules are nice in doses, but spontaneity is the spice of life. Spice things up!

Restricting Diet of People 75+ May Not Make Them Healthier ...

ImageWe recently blogged about overweight seniors who might live longer than their skinnier counterparts. Now according to a recent study, restricting the diet of people 75 and older may not make them healthier.

The five-year study involved 449 Pennsylvania residents, most of who were in their mid-70s. The participants self-reported their diets on a regular basis to Penn State and the Geisinger Healthcare System researchers classified each diet in one of three categories: sweets and dairy, health-conscious, or Western.

?The ?sweets and dairy' pattern was characterized by the largest proportions of energy from baked goods, milk, sweetened coffee and tea and dairy-based desserts, and the lowest intakes of poultry,? the university said. ?The ?health-conscious' pattern was characterized by relatively higher intakes of pasta, noodles, rice, whole fruit, poultry, nuts, fish and vegetables, and lower intakes of fried vegetables, processed meats and soft drinks. The ?Western' pattern was characterized by higher intakes of bread, eggs, fats, fried vegetables, alcohol and soft drinks, and the lowest intakes of milk and whole fruit.?

The researchers used electronic medical records to correlate each person's diet with cardiovascular disease, diabetes mellitus, hypertension and metabolic syndrome. The researchers discovered only one link between diet and these conditions, finding increased hypertension among those on a ?sweets and dairy? diet. This led them to conclude that extremely restrictive diet regimens for this age group are likely not needed.?

Those who have healthy eating habits throughout their lives are likely to be healthier than those who eat poorly, noted researcher Gordon Jensen, M.D., Ph.D., head of the Department of Nutritional Sciences at Penn State.?

However, once the 75-year threshold is reached, dietary changes may not make much difference.?

So more evidence to just let yourself go as you get older. Well I'm not buying it and neither should you. We need to step up and take self-responsibility for? our health. It is not only good for us. It is good for society as we help to curtail out of control medical spending.

The study was funded by the U.S. Department of Agriculture's Agricultural Research Service and appears in the Journal of Nutrition Health and Aging.

THE RESET: Both sides now see spending cuts likely

FILE - In this Tuesday, Feb. 26, 2013, file photo, House Speaker John Boehner, R-Ohio wraps up a news conference on Capitol Hill in Washington, where he and GOP leaders challenged President Obama and the Senate to avoid the automatic spending cuts set to take effect in four days. The scheduled cuts in defense spending, unemployment benefits and other programs could slow an already struggling economy. And. (AP Photo/J. Scott Applewhite, File)

President Barack Obama is waiting until after deep automatic spending cuts actually kick in before meeting with congressional leaders to search for ways out of the nation's latest fiscal crunch. The timing says a lot about the nature and timing of the crisis.

He'll meet at the White House with the four top House and Senate leaders on Friday. The "sequester" cuts begin midnight Thursday.

The scheduling reflects the growing consensus on both sides that they're still too far apart to block the cuts, a recognition that most of the reductions won't hit right away and the knowledge that there's another month to find a better fix.

But panic may rise as March 27 approaches. That's when the current stopgap government budget expires and Congress must pass a new one for the rest of the fiscal year, which ends Sept. 30.

Individual cuts can be modified or eliminated during that budget process.

While the sequester will slash government spending authority by $85 billion, the actual spending cuts will be about $44 billion, says the nonpartisan Congressional Budget Office.

Both parties have been heatedly blaming each other for the impasse as Obama makes campaign-like trips to spotlight the impact on various sectors of the economy.

The maneuvering comes as polls show a divided nation over the looming spending cuts.

A new Wall Street Journal-NBC News poll shows about half of Americans call the cuts too severe and a slightly smaller percentage say they're necessary to reduce the deficit. Other recent polls show similar findings.

Former Nebraska Republican Sen. Chuck Hagel, freshly confirmed by the Senate as defense secretary, mentioned the latest fiscal crisis ? which hits defense accounts particularly hard ? in his first remarks on the job on Wednesday.

"We're dealing with less dollars coming down," Hagel told Pentagon workers. He said he's particularly troubled by "the uncertainty" that lies ahead.

"Now, I've got to go to work," he said.

Goldman, Banking, and Business Ethics - Jesse's Caf? Am?ricain

"I'm a very firm believer that a liar is a cheat and a thief and a crook. I don't like liars. I never lie. I always told my own child, "If you murder somebody, tell me. I'll help you hide the body. But don't you lie to me."

I wish that C-Span would permit their videos to be 'embeddable.'

Greg's talk is excellent, and thanks to C-Span the video quality is good.

Greg Smith Speaking At Stanford on His Experience at Goldman and Reasons for the Corrosive Decline in Business Ethics

Speaking of excellent essays on corruption, Yves Smith has written a wonderful piece titled, Jack Lew?s Grotesque Citi Employment Deal and the Institutionalization of Corruption.

Corruption, facilitated by the credibility trap, is the biggest problem facing?the West?today. That is the real subsidy, the most debilitating entitlement.

It is the belief of the elite that the power of their office is an achievement that?rewards them with the right to lie, cheat and steal, both for themselves and their friends.

Although it is most important to understand that they would be shocked and insulted if?one uses those words, lie, cheat and steal, to describe what they are doing.? They view themselves as exceptionally hard working, as obligated by their natural gifts and superiority.

Through a long indoctrination that starts sometimes in their families, but is most often affirmed in their elite schools and with their circle of privileged friends, they learn to rationalize?selective moral behaviour not as immoral but as 'the entitlement of success.'? And they are supported by a horde of morally ambivalent enablers who will tell them whatever they wish to hear.

There are one set of rules for themselves and their friends, and another set of rules for the rest.

Few who?actually do evil consciously choose to be evil.? They rationalize what they do in any number of ways, but the deceit often hinges on their own natural superiority, and the?objectification and denigration?of the other.? We are makers, and they are takers.?Although many may work hard, they see their own work as having special value and merit, while the actions of the others are inconsequential and?unworthy.

Given enough time, their rationalizations become an ideology, desensitized to the meaning and significance of others outside their own select group.? This supremacy of ideology empties their souls, and opens the door to mass privation and even murder, although rarely done by their own hands.

This is what Glenn Greenwald calls 'justice for some.' Or even earlier what George Orwell captured in the slogan, 'Some animals are more equal than others.'

And just to be clear on this, with regard to the Anglo-American political situation,?the tragedy is not that?just some?are corrupted, which is always the case. The tragedy is that the Democrats and the Labour Party learned that they could become as servilely corrupted by Big Money as the Republicans and the Conservative Party, while maintaining the illusion of serving their traditional political base.

And?it has?rewarded them very well in terms of extraordinarily well-funded political power, and almost unbelievable personal enrichment afterwards.??

In such a climate of corruption,??political discourse?loses the vitality of ideas and compromise?for the general good, and?take on the character of competing?gangs and?crime families, engaged in aggressive schemes?and protracted turf wars, tottering from one pitched battle and crisis to another.

"A credibility trap is a condition wherein the financial, political and informational functions of a society have been compromised by corruption and fraud, so that the leadership cannot effectively reform, or even honestly address, the problems of that system without impairing and implicating, at least incidentally, a broad swath of the power structure, including themselves.

The status quo tolerates the corruption and the fraud because they have profited at least indirectly from it, and would like to continue to do so. Even the impulse to reform within the power structure is susceptible to various forms of soft blackmail and coercion by the system that maintains and rewards.

And so a failed policy and its support system become self-sustaining, long after it is seen by objective observers to have failed. In its failure it is counterproductive, and an impediment to recovery in the real economy. Admitting failure is not an option for the thought leaders who receive their power from that system.

The continuity of the structural hierarchy must therefore be maintained at all costs, even to the point of becoming a painfully obvious hypocrisy.

And you know how I feel about this.
The Banks must be restrained, and the financial system reformed, with balance restored to the economy, before there can be any sustainable recovery.

The problem which the modern world has not yet grappled is how to react to the rise of a?global elite, which considers itself the children of a power which is?above national restraints, and a law unto themselves.

Their?success has been propelled by the dominance of Anglo-American financialization, and the rise of oligarchies in Russia, China, Latin America,?and India.? Countervailing power has been co-opted and subsumed.??Any opposition has become marginalized and isolated.

The new oligarchs?are?supported by their fiat currencies, which together?the increase of insubstantial?'cashlessness' in wealth,? provides the?ability to define and allocate value at will.?

They have a penchant towards globalization and deregulation to support selective justice, to the extreme detriment of local rule, and individual choice and freedom.?? Above all, they are a law unto themselves, above?what they consider subhuman restraint.? ?bermenschen.

?Our light-speed, globally connected economy has led to the rise of a new super-elite that consists, to a notable degree, of first- and second-generation wealth. Its members are hardworking, highly educated, jet-setting meritocrats who feel they are the deserving winners of a tough, worldwide economic competition?and many of them, as a result, have an ambivalent attitude toward those of us who didn't succeed so spectacularly. Perhaps most noteworthy, they are becoming a transglobal community of peers who have more in common with one another than with their countrymen back home. Whether they maintain primary residences in New York or Hong Kong, Moscow or Mumbai, today's super-rich are increasingly a nation unto themselves...

A multibillion-dollar bailout and Wall Street?s swift, subsequent reinstatement of gargantuan bonuses have inspired a narrative of parasitic bankers and other elites rigging the game for their own benefit. And this, in turn, has led to wider?and not unreasonable?fears that we are living in not merely a plutonomy, but a plutocracy, in which the rich display outsize political influence, narrowly self-interested motives, and a casual indifference to anyone outside their own rarefied economic bubble."

Chrystia Freeland, The Rise of the New Global Elite

Of course this tendency is not new in history, as it is a facet of the human heart, and the empires of the past. But the scope of it is something rarely seen before this. And it is supported by technologies for mass action and control that seem terrifyingly powerful and new.

And as hard as it may be to believe, this too shall pass. But as always, we have some work to do in our own time.

?The mills of God grind slowly, yet they grind exceeding small;
Though with patience He stands waiting, with exactness He grinds all.?

Henry Wadsworth Longfellow

Chromebook Pixel review: Touchscreen may justify Google's $1,299 laptop

There's something magical about the Chromebook Pixel's display. You're so drawn in by its crispness that you want to press your hand against it. And when you finally give in to that urge ... you discover it's a touchscreen.

Woah.

But does that moment ? that instant when you instinctively touch a screen and it reacts the way your smartphone-obsessed brain expects ? merit paying $1,299 for a laptop that doesn't run Windows or OS X and is essentially just a hyper-evolved Web browser?

I could certainly justify the purchase to myself, because I live my life online. The only moments I truly leave my browser on any given day involve 10 or so minutes inside a proprietary Windows-only application I have to use for work. Otherwise the browser is it for me ? I can even edit photos with Photoshop's online service. And that means Chrome OS, the operating system Google put on the Pixel suits me just fine.

I don't mind if my applications reside on the Web and my data lives in the cloud, but that doesn't work for everyone. Some need software that doesn't have a Web version, some are without data connectivity too often, and so on. The Pixel isn't for those folks ? they can stop reading right here.

Those who prefer swimming in the open Web need to know about the Chromebook Pixel though.

Have I mentioned the screen? There's no photo I can offer that could do justice to the Pixel's screen, but if you've tried a newer iPhone, iPad, or an Apple MacBook Pro with Retina display, you'll understand. There are 239 pixels per inch (ppi) on the Pixel's 12.85-inch display ? which works out to about 4.3 million pixels ? so many that your eyes can't easily differentiate the individual glowing dots. (For comparison, bear in mind that the 13.3-inch MacBook Pro with Retina display offers 227 ppi, the latest iPad has 264 ppi and the iPhone 5 checks in at 326 ppi.)

A Retina display on a laptop makes sense, but do people really also want multi-touch? Apple's late co-founder said no.

"We've thought about this years ago. We've done tons of user testing on this and it turns out it doesn't work," Jobs explained while a mockup of a MacBook Pro with a touch-sensitive display appeared on the screen during a press event on Oct. 20, 2010. "Touch surfaces don't want to be vertical."

"After a short period of time, you start to fatigue. And after an extended period of time, your arm wants to fall off." Jobs added. "It doesn't work. It's ergonomically terrible."

Jobs was right ? I tried using just the touchscreen, no trackpad, and I nearly apologized to my weary limbs ? but Jobs, with all due respect, was also wrong. Using the touchscreen in combination with the trackpad is a fairly pleasant experience. There are moments when touching the screen feels natural. Tapping through photos, scrolling through documents, scrubbing through video, and so on. Once you get acclimated to the fact that your laptop now responds to touch the way a phone or tablet might, you instinctively reach out at certain times. Otherwise, you just stick to the trackpad. It's a great balance.

Mind you, neither the Web nor the browser-based Chrome OS have become finger-friendly overnight. Buttons and links are still itty-bitty. It's a trackpad-and-mouse world and the Pixel just lives in it. I must admit that I have inadvertently scrolled or selected something while simply trying to point out an item on my screen to someone.

Thanks to my habit of alternating between lotions and hand sanitizer, every phone I handle is left with so many smudges on its screen that you'd think it was attacked by a sticky-handed toddler, but, strangely enough, the Pixel's screen seemed to be impervious to smudging during the time I used it.

Like a sneaky gray kitten, the Pixel runs so quietly that you might forget that it's there. And even more importantly: No matter how many tabs or windows are open, the laptop runs smoothly.

The keyboard will feel familiar to those who, like me, are used to Apple's. It is a bit firmer though, in the most satisfying of ways. (And yes, like other Chromebooks, the Pixel's Caps Lock key is replaced by a handy-dandy Search key.)

The Pixel's speakers are surprisingly loud and clear. You wouldn't expect the speakers on a laptop of this size to pack quite so much oomph. The rest of the laptop's body is equally impressive. The Pixel's got an anodized aluminium alloy body and it keeps vents, screws, and speakers as hidden as possible. No distractions ? just a slick, clean exterior hiding a dual-core 1.8GHz processor, 4GB of RAM, 32GB of solid state storage (64GB if you opt for the LTE-enabled model), a 720p webcam, and all the usual laptop guts.

"If you love the Pixel so much, why don't you just marry it? You could be Rosa Golijan-Pixel," someone out there is shouting at this point. Like I said, buddy, this laptop's certainly not for everyone. Are you able to live in the browser and cloud?

And if you are sold on the Chrome OS, does having a touchscreen with an high pixel-density valuable justify the Pixel's high price? After all, Acer's Chromebook, with its dated hardware and clunky exterior, sells for a budget-minded $199.

Starting at $1,299, the Chromebook Pixel is considerably more of an investment. And you can step up to an LTE-enabled model with 64GB of solid state memory for $1,449. Both models come with one terabyte of Google Drive cloud storage for three years and 12 free GoGo in-flight Internet passes. The LTE-enabled model also comes with a free 100MB of data through Verizon Wireless per month for two years.

Want more tech news or interesting links? You'll get plenty of both if you keep up with Rosa Golijan, the writer of this post, by following her on Twitter, subscribing to her Facebook posts, or circling her on Google+.

The Engadget Interview: Huawei Device Chairman Richard Yu at MWC 2013

Image

Some companies have mascots, but Huawei has Richard Yu. Shortly after the Ascend P2 launch yesterday, we had a chance to catch up with a rather relaxed Chairman of Huawei Device to see what he's been up to, as well as picking his brain on the design decisions of the P2, what Huawei's going to do about the "1,000-yuan ($160) phone" problem, and his side of the Honor 2 AnTuTu benchmark cheating story. Yu also consistently failed to resist the urge to tease a couple of upcoming phones as well (including the super slim P Series phone that failed to show up at MWC), so enjoy the full interview after the break.

Sterling struggles after UK debt downgrade

LONDON (AP) ? The British pound is recovering after dropping against the world's leading currencies as markets reacted to a downgrade of the U.K.'s cherished triple-A credit rating.

During early trading Monday, sterling dropped to $1.5069 against the dollar ? its lowest level since July 2010 ? before bouncing back to $1.5144. Against the euro, the pound hovered around 18-month lows with one euro worth 0.8745 pound.

The pound was in focus in the wake of last Friday's decision by Moody's to downgrade the U.K.'s credit rating by one notch from the top AAA to AA1. The agency says sluggish growth and rising debt are weakening the British economy's outlook.

Two other major rating agencies ? Fitch and Standard & Poor's ? have also warned that they may downgrade the U.K. as well.

(AP) ? Nation of Islam Minister Louis Farrakhan on Sunday called on blacks nationwide to curb economic disparities by cutting back on excessive spending, pooling resources and investing in land ? an action plan he laid out during a three-hour speech at the movement's annual Saviours' Day convention.

The 79-year-old leader has often used the annual keynote address ? part sermon, part lecture ? to discuss current events and politics on a national platform, particularly after the election of the nation's first black president. But Farrakhan focused most of his new message on the Nation of Islam followers in the audience.

Saviours' Day commemorates the founding of the Nation of Islam, which has espoused black nationalism and self-reliance since the 1930s. When President Barack Obama was elected in 2008, the resounding tone of the convention was jubilant, but Obama's re-election took a back seat Sunday as Farrakhan said blacks still had to rely on themselves, and not leaders, to improve their situation.

"Even though one of our own has reached the highest pinnacle of the American political system, his presence has not, cannot and will not solve our problems," Farrakhan told the crowd of men wearing navy uniforms and women dressed in white shirt suits and matching hijabs.

Roughly 10,000 people attended the convention at the University of Illinois at Chicago, an event that drew followers from around the globe and capped off three days of workshops.

Farrakhan touched briefly on other topics ? Israel, Obama's cabinet and healthier food consumption ? but mostly reiterated teachings from the Chicago-based movement on a plan for blacks' economic recovery and said the biggest priority should be the purchase of land.

The Nation of Islam has more than 1,500 acres of farmland in Georgia. Ishmael Muhammad, the religion's national assistant minister, told The Associated Press that the group is looking to buy thousands more acres in the Midwest.

Noticeably absent from Farrakhan's remarks were any major mentions of violence in Chicago and the organization's renewed and more public efforts to combat it. Chicago had an uptick of violence last year with more than 500 murders and last July, Farrakhan dispatched the organization's military-style members to march city streets in an attempt to reach out to community members and those in gangs.

And in a rare move, the minister himself marched in the streets alongside Nation of Islam members.

Muhammad said members of the movement continue to do similar work in the neighborhoods of Chicago, New York and other cities but on a more low-key basis. He said the group would ramp up again in the summer in Chicago and that the organization also is developing anti-violence programs.

Chicago area ministers and anti-violence advocates from CeaseFire confirmed the Nation of Islam has become more active in combating violence in recent months, volunteering security services at a peace summit and workshops, among other things.

"The effort is to promote peace in the streets. Our first effort is to introduce ourselves to the community," Muhammad said. "So many feel neglected and abandoned."

In his speech Sunday, Farrakhan only addressed violence in terms of guns, saying illegal weapons are the problem.

"The Second Amendment has no relevance to the black community in this sense," he said. "All your weapons are illegal and you're using them like a savage people."

DealBook: Judge Sides With Einhorn and Halts an Apple Shareholder Vote

7:13 p.m. | Updated

A federal judge on Friday ordered Apple to halt collecting shareholder votes on a contentious proposal to change some of its corporate charter, handing a victory to the hedge fund manager David Einhorn.

The ruling issued Friday touches on a fairly narrow legal point. But it signals a clear victory for Mr. Einhorn, who has taken up a fight with Apple over using some of its $137 billion cash hoard to make additional payouts to shareholders.

Mr. Einhorn?s hedge fund firm, Greenlight Capital, has sued Apple in Federal District Court in Manhattan, arguing that the company improperly tied together several shareholder issues to be put for a vote into one proposal. Such bundling, lawyers for the hedge fund argued, violated rules set by the Securities and Exchange Commission.

At the heart of the hedge fund?s complaint was that Apple combined a plan to eliminate its ability to issue preferred stock without shareholder approval with two other initiatives that Greenlight favored. By allowing the vote to proceed, lawyers for the firm argued, Greenlight was being forced to vote against its own interests.

The judge overseeing the case, Richard Sullivan, firmly agreed with that interpretation.

?Given the language and purpose of the rules, it is plain to the court that Proposal No. 2 impermissibly bundles ?separate matters? for shareholder consideration,? Judge Sullivan wrote in his order. The judge said at a hearing on Tuesday that he was leaning toward Mr. Einhorn?s point of view on the matter.

His ruling comes just days before the company?s shareholder meeting next Wednesday. It will also prevent Apple from accepting shareholder votes on Proposal No. 2, which had included Apple?s plans to eliminate its preferred shares. Some shareholder rights advocates have contended that preferred shares have been used as an anti-takeover tactic by boards and have pushed for their elimination.

Mr. Einhorn?s bigger goal has been to persuade Apple to return some of its billions sitting in cash to shareholders as a way to unlock the company?s value. Greenlight Capital has contended that the company has far more cash than it will ever need, and that preferred shares could provide additional payouts worth about $61 a share, while still leaving the company with an enormous war chest.

?We know they embrace innovation and can recognize it when they see it, even if it isn?t the kind of innovation people usually think of when they think of Apple,? Mr. Einhorn said in a conference call with analysts on Thursday.

Mr. Einhorn said that Apple should issue preferred shares ? upon which he bestowed the cutesy name ?iPrefs? ? that would augment a stock dividend and buyback program that the company already has in place.

Although Apple was once the stock market darling for its meteoric rise, in recent months, share prices have sagged. Apple?s shares are down 36 percent since they hit a 52-week high on Sept. 21.

In a statement on Friday, Greenlight praised the judge?s ruling. ?This is a significant win for all Apple shareholders and for good corporate governance,? the firm said. ?We are pleased the court has recognized that Apple?s proxy is not compliant with the S.E.C.?s rules.?

A representative for Apple wasn?t immediately available for comment.

Apple will now most likely have to break Proposal No. 2 into its separate elements and resubmit them to a vote. The timing of that move is not clear.

Apple had argued that the plan in its entirety was actually shareholder-friendly, and enjoyed the backing of prominent investors like the California Public Employees? Retirement System.

Anne Simpson, the Calpers director of global governance, said in a statement: ?We continue to support Apple in their efforts, and believe that the implementation of majority voting and shareholder approval for the issuance of new stock ? preferred or otherwise ? is worth waiting for.?
